Definition

A Qualified Opportunity Zone is a designated distressed area where investors can receive capital gains tax benefits for long-term investment through a Qualified Opportunity Fund.

How It Works

An investor rolls a realized capital gain into a Qualified Opportunity Fund within 180 days, which defers tax on the original gain. If the fund investment is held long enough, the appreciation generated inside the fund can become permanently tax-free. The deferral and step-up provisions carry specific deadlines that have changed over time, so current-year rules matter.

Example

An investor with a $500,000 stock gain reinvests it into a Qualified Opportunity Fund, defers tax on that gain, and after a decade-plus hold owes no tax on the new appreciation the fund produced.

When It Works Best

It fits investors with a sizable realized capital gain who want to defer tax now and can commit to a long hold in a development or real estate project.

Who It Applies To

Investors with capital gains to reinvest, typically accredited investors given the nature of the funds.

Watch-Outs

The tax benefit is only as strong as the underlying deal. These funds concentrate in development and real estate that carry real market, execution, and illiquidity risk. A weak investment with a strong tax wrapper is still a weak investment.
